For the purposes of these Terms and Conditions, QDP refers to QDP Services Limited.

Acceptance of Orders

All contracts for data processing services are accepted subject to these terms and conditions (unless otherwise varied by agreement in writing) to the exclusion of all other terms and conditions.
Acceptance of the written estimate or quotation for the services constitutes acceptance of these terms and conditions.

Invoices and Payment

Invoices will be raised from QDP. All invoices will be due and payable within 28 calendar days from the date of the invoice.
A discount of 4.0% on the value of the invoice, excluding any carriage charges, will be given where the invoice amount is cleared in our bank within 28 calendar days from the invoice date.
We reserve the right to charge a minimum as specified on our latest price list or quotation. We also reserve the right to charge an up front amount which will be payable within our normal terms.
Carriage will be charged at cost plus a 20% handling charge with a minimum of £18.00.

Membership Fees

The membership provides access to all QDP Products & Services, as described in the QDP CD Reference Library & User Guide, for use by the member only.
Materials, for example questionnaires, can not be supplied to other organisations or individuals without prior written consent.
The membership period is stated on each invoice and will be renewed and invoiced automatically at the end of each membership period. You may cancel your membership by giving QDP two months notice in writing otherwise the membership will become due and payable under our normal terms and conditions.
If any invoice is not paid within 90 days all materials supplied must be returned to QDP.

Delivery

Delivery of the services may vary and will be agreed between QDP and the customer.
The required delivery date will be achieved whenever possible.
QDP shall not be liable for failure to deliver by such date(s) or for any damage arising directly or indirectly out of delay in delivery.

Confidentiality

All information exchanged by any means, by representatives of our respective organisations, will be kept confidential and shall not, without prior written consent be disclosed to any other party save for the fact that our organisations engage in commercial arrangements of the nature described in our sales literature, estimates and quotations. Nor shall this information be used or copied for any purpose without prior written consent.

Liability

In no event shall we be liable for damages arising out of or in connection with the use of the services.

General

QDP will confidentially recycle all processed questionnaires one calendar month after the final invoice is raised by ourselves unless we are asked to keep or return the questionnaires, in which case there may be an additional charge.

These terms and conditions shall be governed in accordance with the English Law
